Please read these Terms of Service carefully before using AgentScriptAI. By accessing or using AgentScriptAI at agentscriptai.vercel.app, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using AgentScriptAI, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.

2. Description of Service

AgentScriptAI is an AI-powered content generation tool designed to help real estate agents create marketing content including MLS listing descriptions, social media captions, buyer emails, and video scripts. The Service uses third-party artificial intelligence technology to generate content based on property details you provide.

3. AI-Generated Content Disclaimer

This is important. Please read carefully.

All content generated by AgentScriptAI is produced by artificial intelligence and is provided as a starting point only. You acknowledge and agree that:

  • You are solely responsible for reviewing, verifying, editing, and approving all generated content before publishing or distributing it anywhere.
  • AgentScriptAI makes no representations or warranties about the accuracy, completeness, or suitability of any generated content for any purpose.
  • Generated content may contain errors, inaccuracies, or information that does not reflect the actual property.
  • You must ensure all published content complies with your local MLS rules and regulations, including any requirements to disclose AI-generated content.
  • AgentScriptAI is not liable for any losses, claims, or damages arising from your use or publication of generated content.

4. Ownership of Generated Content

Content you generate using AgentScriptAI belongs to you. We claim no ownership over the output you create using our Service. However, we may use anonymized, aggregated, non-identifiable data about usage patterns to improve and develop the Service.

5. Our Intellectual Property

AgentScriptAI, including its name, logo, design, code, and all associated content, is our intellectual property. You may not:

  • Copy, reproduce, or redistribute any part of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use the AgentScriptAI name, logo, or branding without our written permission
  • Resell, white-label, or sublicense the Service to any third party without our written permission

6. Acceptable Use

You agree to use AgentScriptAI only for lawful purposes. You must not use the Service to:

  • Generate fraudulent, misleading, or deceptive property listings
  • Create content that violates any applicable law or regulation
  • Generate spam or bulk unsolicited content
  • Input personally identifiable information about third parties including clients, buyers, or sellers
  • Attempt to circumvent, disable, or interfere with the security features of the Service
  • Use automated tools, bots, or scripts to access or use the Service beyond its intended purpose
  • Engage in any activity that could harm, disrupt, or overburden the Service or its infrastructure

7. User Accounts and Security

When we introduce user accounts, you will be responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account
  • Not sharing your account with any other person

One subscription is for one user only. Account sharing is not permitted.

8. Payments and Subscriptions

When paid plans are introduced:

  • Subscriptions are billed on a recurring monthly basis
  • You authorize us to charge your payment method automatically at the start of each billing period
  • Prices may change with reasonable advance notice — continued use after a price change constitutes acceptance of the new pricing
  • You may cancel your subscription at any time — cancellation takes effect at the end of your current billing period
  • We do not offer refunds for partial billing periods
  • If a payment fails, we reserve the right to suspend or terminate your access to the Service

9. Free Trial

If we offer a free trial:

  • The free trial provides limited access to the Service for a specified period or number of uses
  • At the end of the free trial, continued use requires a paid subscription
  • We reserve the right to modify or discontinue free trial offers at any time

10. Third-Party Services

AgentScriptAI relies on third-party services to operate, including hosting providers, AI processing services, and analytics tools. Your use of AgentScriptAI means your data may pass through these services. We are not responsible for the practices, policies, or actions of any third-party service providers.

11. Service Availability

AgentScriptAI is provided on an "as is" and "as available" basis. We do not guarantee:

  • Uninterrupted or error-free operation of the Service
  • That the Service will be available at any particular time
  • That any errors or bugs will be corrected

We are not liable for any losses, damages, or missed opportunities resulting from Service interruptions, downtime, or unavailability.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AgentScriptAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $10 USD if you have not made any payments
  • This limitation applies regardless of the legal theory on which the claim is based

13. Indemnification

You agree to defend, indemnify, and hold harmless AgentScriptAI and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights. This obligation survives termination of your use of the Service.

14. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. You may stop using the Service at any time. Upon termination, all licenses granted to you under these Terms will immediately terminate.

15. Dispute Resolution

Any disputes shall first be attempted to be resolved through good faith negotiation by contacting us at quicksupport01@gmail.com. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration rather than in court, except that either party may seek injunctive relief in court for intellectual property violations.

16. Governing Law

These Terms are governed by the laws of Jamaica. Where users are located in other jurisdictions, we comply with the applicable laws of those jurisdictions to the extent required.

17. Force Majeure

AgentScriptAI shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, internet outages, third-party service failures, or government actions.

18. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer these Terms without your consent, including in connection with a merger, acquisition, or sale of assets.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

20. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. A waiver will only be effective if made in writing and signed by us.

21. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AgentScriptAI with respect to the Service and supersede all prior agreements and understandings relating to the subject matter herein.

22. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms with a new "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
